  2. PRESCIENT SYSTEMS (TM) 
  3. END USER SOFTWARE LICENSE AGREEMENT

  6. BY CLICKING ON THE "ACCEPT" BUTTON, DOWNLOADING 
  7. THE SOFTWARE OR OPENING THE PACKAGE, YOU ARE 
  8. CONSENTING TO BE BOUND BY AND ARE BECOMING A 
  9. PARTY TO THIS AGREEMENT.  IF YOU DO NOT AGREE TO 
  10. ALL OF THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD 
  11. THE SOFTWARE, OR CLICK THE "DO NOT ACCEPT" BUTTON, 
  12. AND, IF APPLICABLE, RETURN THIS PRODUCT TO PRESCIENT 
  13. SYSTEMS.

  15. THIS END USER SOFTWARE LICENSE AGREEMENT (the 
  16. "Agreement") is made between you, the end user 
  17. ("You"), and Prescient Systems, a California 
  18. corporation ("Prescient Systems").
  19.  
  20.  
  21. 1.    Use of Software.
  22.  
  23. Prescient Systems hereby grants to You a non-exclusive 
  24. license to use its accompanying proprietary GOTCHA!(TM) 
  25. Recreational Video Capture Software product (the 
  26. "Software") on a single computer on a hard disk or 
  27. other storage device.  You may make a reasonable number 
  28. of backup copies of the Software.  YOU ARE EXPRESSLY 
  29. PROHIBITED FROM MAKING COPIES OF THE SOFTWARE FOR ANY 
  30. PURPOSE OTHER THAN BACKUP OF YOUR PURCHASED COPY.  
  31. You are expressly prohibited from selling, renting, 
  32. leasing or otherwise distributing copies of the Software.  
  33. You are expressly prohibited from transmitting the 
  34. Software to any point outside the United States for 
  35. any reason.  You may not use the Software for any use 
  36. prohibited by law.

  39. 2.    Intellectual Property Protection.
  40.  
  41. The Software, including its operation, code, architecture 
  42. and implementation, as well as the look and feel of the 
  43. Software are the valuable intellectual property of 
  44. Prescient Systems.  The Software is protected by United 
  45. States copyright laws and international treaty provisions.  
  46. This Agreement does not give You any intellectual property 
  47. rights in the Software.  You agree not to modify, translate, 
  48. disassemble, decompile, reverse engineer, create derivative 
  49. works of, or make any other attempt by any means to discover
  50. or obtain the source code for the Software.

  53. 3.    Limited Warranty.
  54.  
  55. Prescient Systems warrants that the Software will perform 
  56. substantially in accordance with Prescient Systems' 
  57. published specifications therefor for a period of ninety 
  58. (90) days from the date You acquire the Software.  Prescient 
  59. Systems' sole liability for any breach of this warranty shall 
  60. be, in Prescient Systems' sole discretion: (i) to repair or 
  61. replace the Software or (ii) to refund the license fee You 
  62. paid for the Software.  Any replacement Software will be 
  63. warranted for the remainder of the original warranty period 
  64. or thirty (30) days, whichever is longer.

  66. THIS IS A LIMITED WARRANTY AND IS THE ONLY WARRANTY MADE 
  67. BY PRESCIENT SYSTEMS.  PRESCIENT SYSTEMS MAKES NO OTHER 
  68. WARRANTY, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, 
  69. ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A 
  70. PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD-PARTY 
  71. RIGHTS.  IF IMPLIED WARRANTIES MAY NOT BE DISCLAIMED UNDER 
  72. APPLICABLE LAW, THEN ANY IMPLIED WARRANTIES ARE LIMITED IN 
  73. DURATION TO THE ABOVE LIMITED WARRANTY PERIOD.  SOME STATES 
  74. DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY 
  75. LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.  NO 
  76. PRESCIENT SYSTEMS' DEALER, AGENT OR EMPLOYEE IS AUTHORIZED 
  77. TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS 
  78. WARRANTY.  If any modifications are made to the Software by 
  79. You during the warranty period; if the Software is subjected 
  80. to accident, abuse or improper use; or if You violate the 
  81. terms of this Agreement; then this warranty shall 
  82. immediately be terminated.

  85. 4.    Limitation of Liability.
  86.  
  87. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, 
  88. CONTRACT, OR OTHERWISE, SHALL PRESCIENT SYSTEMS OR ITS 
  89. SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY OTHER 
  90. PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR 
  91. CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT 
  92. LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS 
  93. INTERRUPTION, LOSS OF BUSINESS INFORMATION, COMPUTER FAILURE 
  94. OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  95. LOSSES EVEN IF PRESCIENT SYSTEMS SHALL HAVE BEEN INFORMED 
  96. OF THE POSSIBILITY OF SUCH DAMAGES.  THE SOFTWARE IS 
  97. CONFIGURED FOR RECREATIONAL USE ONLY AND IT IS NOT 
  98. INTENDED FOR USE AS A SECURITY OR PROTECTION SYSTEM.  
  99. PRESCIENT SYSTEMS SHALL BE HELD HARMLESS FOR ANY LOSSES, 
  100. REAL OR PERCEIVED, THAT OCCUR RELATING TO THE USE OF 
  101. THE SOFTWARE.  SOME STATES DO NOT ALLOW THE EXCLUSION 
  102. OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO 
  103. THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

  106. 5.    Termination.
  107.  
  108. Your license to use the Software is terminated if You 
  109. violate this Agreement.  Upon termination, You must 
  110. destroy all copies of the Software.
  111.  
  112.  
  113. 6.    General Provisions.
  114.  
  115. This Agreement is the exclusive agreement between You 
  116. and Prescient Systems concerning the Software and 
  117. supersedes any and all prior or contemporaneous oral or 
  118. written agreements, representations, negotiations or 
  119. other dealings between You and Prescient Systems.  
  120. This Agreement will be governed by the laws of the State 
  121. of California applicable to contracts executed and performed 
  122. entirely in California by residents of that State.  
  123. If any part of this Agreement is found to be void, 
  124. unenforceable or invalid, it shall not affect the other 
  125. provisions of this Agreement.  This Agreement can only 
  126. be modified by a writing signed by both parties.

  129. Prescient Systems, GOTCHA!, Personal Observation Ware 
  130. and "...give your camera a mind of its own" are 
  131. trademarks of Prescient Systems.  Prescient Systems has
  132. a U.S. patent protecting the motion detection 
  133. properties of GOTCHA!.
